WOMEN’S DIVISION

EVERETT GOLF & COUNTRY CLUB

THE PURPOSE OF THIS ORGANIZATION IS TO ENABLE THE WOMEN GOLFERS OF EVERETT GOLF & COUNTRY CLUB TO FOSTER GOOD COMPETITIVE GOLFING ACTIVITIES. IN DOING SO, IT IS NECESSARY THAT CERTAIN ELECTIVE AND APPOINTIVE OFFICERS BE ESTABLISHED, THEIR DUTIES OUTLINED, THEIR METHOD OF NOMINATION, ELECTION AND APPOINTMENT BE HEREBY GOVERNED BY THE FOLLOWING ARTICLES:

 

 

ARTICLE I – MEMBERSHIP

 

Evidence of membership will be members of Everett Golf & Country Club who are regular golfing members. Regular golfing members are eligible to vote. Eligibility in this organization will be established in the Everett Golf & Country Club Membership Bylaws.

 

Section 1

     (a)  Women members shall consist of the following:

      1. Women playing members.
      2. The widow of a deceased voting member who has retained voting certificate.
      3. The widow of a Senior Non-Certificate Associate member who has elected to retain playing status under Senior Non-Certificate Associate membership.
      4. Any unmarried twenty-one-year-old (21) daughter of a voting member. At the time said daughter reaches the age of twenty-three (23) her club privileges will no longer be in effect.

      

     (b) Special members are playing members under the age of thirty-five (35) who do not hold a certificate and whose application has been passed upon by the Board of Directors.

 

 

 

ARTICLE II – MEETINGS

 

Section 1        There shall be three General Meetings to be held in the spring, summer and fall according to the Captain’s calendar. Written notice shall be posted on the bulletin board prior to the meeting.

 

Section 2        There shall be an Executive Board meeting in January and prior to each General Meeting. The dates shall be specified by the Captain.

 

Section 3      Special meetings may be called by the Captain.

 

Section 4      Fifty (50) voting members shall constitute a quorum for Special and General Meetings.

 

Section 5 Order of Business:

              (1) Presenting of the minutes of the previous meeting and their approval

                   (2) Treasurer’s Report

                 (3) Reports of special committees

                 (4) Special Orders

                   (5) Unfinished business and general order

                   (6) New Business

 

 

ARTICLE III – OFFICERS, COMMITTEES & EXECUTIVE BOARD

 

Section 1 The officers shall be Captain; Captain-Elect; Secretary; Treasurer; Washington State Women’s Golf Association (WSWGA); Pacific Northwest Golf Association (PNGA) / Washington Golf (WG) Trustee; and Women’s Western Golf Association (WWGA) Trustee shall be known as the Executive Committee.

 

 

 

 

 

 

Section 2 Committees of the organization shall be as follows:

Section 3    Any committee may be added or deleted at any time.

 

Section 4    The Executive Board shall consist of the Captain, Captain-Elect, Secretary, Treasurer, WSWGA Trustee, PNGA/WG Trustee, WWGA Trustee, immediate past Captain and the Chair of all committees.

 

 

ARTICLE IV – NOMINATIONS & ELECTIONS OF OFFICERS

 

Section 1      The Nominating Committee shall consist of five (5) members elected by the majority of the members present at the summer general meeting. No member shall serve on the Nominating Committee for more than one (1) consecutive year.

 

Section 2 The Nominating Committee shall submit a slate of nominees for officers. These officers are Captain-Elect, Secretary and Treasurer, and shall be presented at the fall meeting. The nominative slate shall be posted one (1) month prior to the election meeting in the fall.

 

 

Section 3      Further nominations and one (1) second for each nomination may be made from the floor at the fall meeting with prior acceptance of the nominees.

 

Section 4      Elections shall be by voice vote except when further nominations have been received from the floor, in which event, the vote for the contested office(s) shall be by ballot. Those persons receiving the majority vote for Captain-Elect, Secretary and Treasurer and thereby elected to a term of office which shall take effect January 1, following their election, and they shall continue in office for one year.

 

Section 5      Captain-Elect automatically becomes Captain the following year.

 

Section 6      The State Trustee shall be elected by the membership as designated by the Washington State Women’s Golf Association and shall fulfill her duties as prescribed by the WSWGA. The term shall be four (4) years.

 

Section 7      The PNGA/WG Trustee shall be elected by the membership as designated by the PNGA/WG and shall fulfill her duties as thereby prescribed. The term shall be four (4) years.

 

Section 8      The WWGA Trustee shall be elected by the membership as designated by the WWGA and shall fulfill her duties as thereby prescribed. The term shall be four (4) years.

 

Section 9      A vacancy in the office of Captain shall be filled by the Captain-Elect. The Nominating Committee shall meet to select another nominee for the Captain-Elect to be elected by the prior acceptance of nominee. Vacancies in the offices of Secretary and Treasurer shall be filled by majority vote of the executive board.

 

Section 10       The Secretary’s and Treasurer’s terms of office shall be an option of one (1) to three (3) consecutive years.         

 

ARTICLE V – DUTIES OF OFFICERS, COMMITTEES & EXECUTIVE BOARD

 

Section 1 Captain: The Captain shall preside at all regular, special and Executive Board meetings. She shall be a member, ex-officio, of all committees except the Nominating Committee and be responsible for the proper operation of the organization in all matters, golfing and financial.

 

Section 2 Captain-Elect: The Captain-Elect shall assume the duties of the Captain in the event of her absence and may hold one or more committee chairmanships. It shall also be her duty to welcome new members and assist them whenever necessary, throughout the year. She shall be a member, ex-officio, of all committees except the Nominating Committee. She shall be the chair of the Tournament Committee.

 

Section 3 Secretary: The Secretary shall keep the minutes and have charge of all records and reports and perform such other duties as are relevant to this office.

 

Section 4 Treasurer: The Treasurer shall have custody of all funds except Cancer Tournament funds and shall keep regular books of account and balance the same. She shall countersign such instruments as require her signature and shall perform all duties relevant to this office that are properly required the association.

 

Section 5 Executive Board: The Executive Board’s duty throughout the year is to meet according to Article II, Section 2 and administer business pertinent to the Women’s Division.

 

Section 6 Committees: The duties of the committees listed are defined in the Standing Rules, Article III, Section 2.

 

Section 7 EG&CC Committees: House, Golf Activities, Membership, Green, Finance and Bylaws shall be appointed by the EG&CC Board Member Committee Chair.

 

ARTICLE VI – FINANCE

 

Section 1      All funds of the General Fund or organization, except for the Cancer Tournament, shall be deposited in the name of Everett Golf & Country Club Women’s Division in such bank or trust as the Captain shall designate and shall be withdrawn only by check signed by the Treasurer or Captain.

 

 

Section 2      A financial report shall be posted prior to and presented at each general meeting.

 

Section 3      The Treasurer’s books shall be audited at the end of the calendar year.

 

 

ARTICLE VII – PARLIAMENTARY AUTHORITY

 

The rules contained in Robert’s Rules of Order, newly revised, shall govern the association in all cases to which they are applicable and in which they are not inconsistent with the Bylaws or the special Rules of Order of this Association.

 

 

ARTICLE VIII – METHOD OF AMENDING THE BYLAWS

 

These Bylaws may be amended, altered or repealed by a two-thirds (2/3) vote of the members present at a regular or special meeting at which a quorum is present, provided notice is given of such change at least one month prior to the meeting.

 

 

ARTICLE IX – STANDING RULES

 

Such rules as have been adopted by our membership for its continuous guidance in practice and procedure shall be known as “Standing Rules” and shall be set forth in the body immediately following the Bylaws and incorporated herein by this reference. Standing Rules may be adopted or rescinded by the Executive Board.
